Cheniere Energy Partner, L.P.,
announces that its subsidiary,
Sabine Pass Liquefaction LLC,
has entered into a liquefied natural gas (LNG)
sale and purchase agreement (PSA) with
Total Gas & Power North America, Inc. .

Total will purchase approximately
2.0 million tonnes per annum (mtpa) of the
4.5 millon tonnes per annum (mtpa) of nominal capacity
of Train 5 being developed at Sabine Liquefaction
for 20 years commencing upon the date of
first commercial delivery for train 5, and
an extension options of up to 10 years.
Deliveries from train 5 are expected to occur
as early as 2018.

Under the sale and purchase agreement,
Total will purchase LNG on FOB Basis,
under which LNG will be loaded onto Total's vessels,
for a purchase price indexed to
the monthly Henry Hub Price plus a fixed component.
